The Bylaws Committee plays a unique role in ensuring that AECO’s internal documents—the Bylaws, Terms of Reference (TORs), policy decisions, etc.—are clearly written and consistent with agreed association documents.

In this capacity, the committee stands ready to discuss and make recommendations to the Secretariat, the Executive Committee (EC) and other committees when it foresees potential unintended consequences or problems arising in the normal development and drafting of AECO guidelines, policies and requirements.

In a sense, the Bylaws Committee serves as the “glue” or connective tissue that helps to provide overall logic and consistency to the association’s defining documents.

Mandate
  1. Review AECO Bylaws and Terms of Reference annually to assure that they are current and in compliance with the association’s decisions and agreed policies and objectives.
  2. In consultation with the Secretariat, the EC and other committee chairs, draft relevant changes to the Bylaws, Terms of Reference and other internal documents in advance of the Annual Meeting.
  3. Coordinate with the Secretariat to inform the Membership of any proposed changes in advance of the Annual Meeting. Based on discussions and suggestions put forward at the meeting itself, be prepared to draft revisions to proposals so that approval by Membership vote can proceed in timely fashion.
  4. Work with the Secretariat, EC, and other committees, as needed during the year.
  5. Be cautious of expanding or changing the Bylaws needlessly or making them a catch-all for policy changes when the TORs and other internal documents may be more appropriate places for agreed changes or additions.and Dispute Resolution Committee for review.
Structure
  1. The Bylaws Committee will consist of a minimum of three and a maximum of six individuals, with a chair and a vice-chair.
  2. For purposes of continuity and ongoing familiarity with AECO Bylaws and ToRs, committee members are expected to serve at least three years.
